Terms of Service

These Terms of Service ("Terms") govern your access to and use of Voltavic, a solar EPC management platform operated by Virinchi Software ("Company", "we", "us"). By creating an account or using the platform, you agree to be bound by these Terms.

If you are using Voltavic on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

1. The Service

Voltavic provides a cloud-based SaaS platform for solar EPC (Engineering, Procurement, and Construction) companies, including features for project management, AI-powered proposals, solar monitoring, automated billing, inventory management, communication automation, HR management, and mobile applications.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable prior notice for non-emergency changes.

2. Account Registration

You must provide accurate, complete, and current registration information.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at [email protected] if you suspect unauthorized access.
One organization may not share a single account across unaffiliated entities.

3. Acceptable Use

You agree not to:

Use the platform for any unlawful purpose or in violation of any Indian or applicable laws
Attempt to gain unauthorized access to any part of the platform or its infrastructure
Upload, transmit, or store malware, viruses, or malicious code
Scrape, reverse-engineer, or decompile any part of the platform
Use the platform to send unsolicited bulk communications (spam)
Resell, sublicense, or offer the platform as a white-label product without written permission
Interfere with or disrupt platform availability for other users

4. Subscription and Payment

Voltavic is offered on a subscription basis. By subscribing, you agree to pay all applicable fees as described on the Pricing page.

Subscriptions are billed monthly or annually, in advance.
All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise.
Payment is processed via our payment gateway partner (Razorpay). Failed payments may result in service suspension.
We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will be notified by email.
Annual plan subscribers who downgrade or cancel will not receive a prorated refund for the remaining term, except as required by applicable law.

5. Free Trial

We offer a 14-day free trial with full feature access. No credit card is required for the trial. After the trial period, continued access requires a paid subscription. We may terminate the trial at any time if we believe you are abusing the trial or violating these Terms.

6. Intellectual Property

Our IP: The Voltavic platform, including its code, design, trademarks, and brand assets, is owned by Virinchi Software. You receive a limited, non-exclusive, non-transferable license to use the platform during your active subscription.

Your Data: You retain full ownership of all data you upload, create, or process within Voltavic. We claim no intellectual property rights over your business data.

Feedback: If you provide suggestions or feedback about the platform, we may use this to improve our product without obligation or compensation to you.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of using or operating the service. We will not access your account data except to provide support when explicitly authorized by you, or as required by law.

8. Data and Privacy

Your use of Voltavic is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of data as described therein.

9. Uptime and Service Levels

We target 99.5% monthly uptime for the platform, excluding scheduled maintenance windows (announced 48 hours in advance) and force majeure events. Enterprise plan subscribers may be eligible for a service credit if uptime falls below this target, as detailed in their service agreement.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. Use of the platform is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Virinchi Software's total liability to you for any claims arising from these Terms or use of the platform shall not exceed the amount you paid to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

12. Indemnification

You agree to indemnify and hold harmless Virinchi Software, its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription as described in our Cancellation Policy. We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or if we are required to do so by law.

Upon termination, your access will cease and your data will be available for export for 90 days, after which it will be permanently deleted.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

15. Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-platform notification. Your continued use of the platform after such notice constitutes acceptance of the revised Terms.
